Baskin-Robbins Confidentiality Agreement

You must read and accept the following confidentiality agreement to proceed.

THIS CONFIDENTIALITY AGREEMENT is made and entered into by and between the visitor to the Baskin and Robbins Australia website and Allied Brands Services - Baskin-Robbins (ABN: 26 009 688 751) organised and existed under the laws of the State of Queensland and having its principal offices at 1/36 Seabeach Ave, Mermaid Beach, Qld, 4218.

WITNESSETH:

WHEREAS, each of the parties hereto desires to have information disclosed by Allied Brands Services (hereinafter “Disclosing Party”) to the above mentioned business
(hereinafter “Receiving Party”) regarding the franchising system designed by the
Disclosing Party, which is of a confidential and proprietary nature and the premature
entry of which into the public domain would jeopardize the property rights (hereinafter
“Confidential Information”) of the Disclosing Party; and
WHEREAS, the Receiving Party desires to receive the Confidential Information under
the terms and conditions contained herein.
NOW, THEREFORE, in mutual consideration of the covenants and promises set forth
herein, the parties hereto agree as follows:

1. The Receiving Party hereby acknowledges and agrees that the Confidential
Information is the proprietary information of the Disclosing Party. The
Receiving Party agrees that:

a. The Receiving party, its Affiliates and their officers, directors, advisors,
consultants and employees (hereinafter collectively “Representatives”)
shall keep the Confidential Information disclosed to them confidential; the
Receiving party, its Affiliates and Representatives shall not publish,
disclose or communicate to any third party the Confidential Information
disclosed to them, and

b. The Receiving party, its Affiliates and Representatives shall not make
use of the Confidential Information disclosed to them for their own behalf
or on behalf of any third party, and except as the Disclosing Party may
otherwise agree in writing. The term “Affiliates” shall mean any person
directly or indirectly, through one or more intermediaries, controlling the
Receiving Party or controlled by or under common control with the
Receiving Party.

2. Access to the Confidential Information received by the Receiving Party under
this Agreement shall be limited to only those Affiliates and Representatives
requiring such access for carrying out the evaluation of the Disclosing Party’s
business proposition. The Receiving Party shall be responsible for any breach
of this Agreement by its Affiliates or Representatives.

3. Upon the written request by the Disclosing Party to the Receiving Party, the
Receiving Party shall immediately return to the Disclosing Party all copies of
the Confidential Information then in its possession or in the possession of its
Affiliates or Representatives and shall immediately destroy all analyses,
compilations, studies or other materials prepared by the Receiving Party or its
Affiliates or Representatives containing, or based in part on the Confidential
Information.

4. The Receiving Party, its Affiliates and Representatives shall use the same
degree of care in keeping the Confidential Information confidential as the
Receiving Party uses for its own confidential information of a similar nature.
